1. Agreement to Terms

By accessing and using the services provided by Tampa Bay Library Consortium ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Important: These terms constitute a legally binding agreement between you and Tampa Bay Library Consortium. Please read them carefully before using our CRM solutions and services.

2. Services Description

Tampa Bay Library Consortium provides intelligent CRM solutions designed to automate sales, enhance customer service, and accelerate business growth. Our services include but are not limited to:

  • CRM Platform Access: Cloud-based customer relationship management tools
  • Sales Automation: Automated workflows and sales pipeline management
  • Customer Support Tools: Ticketing systems and communication platforms
  • Analytics & Reporting: Business intelligence and performance metrics
  • Integration Services: Third-party application integrations
  • Training & Support: 24/7 expert support and educational resources

3. Account Registration

To access our services, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Responsibilities:

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use of your account
  • You must be at least 18 years old to create an account

4. Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the services in any way that violates any applicable law or regulation
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Use automated systems to access the services without our permission
  • Resell or redistribute our services without authorization
  • Use the services to send spam or unsolicited communications

Warning: Violation of our Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

5. Subscription and Payments

Our services are provided on a subscription basis. By subscribing to our services, you agree to pay all applicable fees as described in your chosen plan.

Payment Terms:

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change our pricing with 30 days' notice
  • Failed payments may result in service suspension
  • You authorize us to charge your payment method automatically

6. Free Trial

We may offer a free trial period for new users. During the trial period, you will have access to the full features of your selected plan. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

7. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime for our services. Our SLA commitments include:

  • Uptime Guarantee: 99.9% monthly uptime (excluding scheduled maintenance)
  • Response Time: 24/7 support with response within 2 hours for critical issues
  • Data Backup: Daily automated backups with 30-day retention
  • Security Updates: Regular security patches and updates

8. Data Ownership and Usage

You retain all rights to the data you input into our services. We do not claim ownership of your customer data, business information, or any content you create using our platform.

Our Rights:

  • We may use aggregated, anonymized data for analytics and service improvement
  • We may access your data to provide support or maintain the service
  • We will not sell or share your data with third parties without your consent

9. Intellectual Property

All intellectual property rights in our services, including software, designs, trademarks, and documentation, remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

10. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting our support team.

Effect of Termination:

  • Upon termination, your access to the services will cease
  • You will have 30 days to export your data after termination
  • We may delete your data after the 30-day grace period
  • No refunds will be provided for unused subscription time

11. Limitation of Liability

To the maximum extent permitted by law, Tampa Bay Library Consortium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

12. Warranties and Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the services will be uninterrupted, error-free, or completely secure.

13. Indemnification

You agree to indemnify and hold harmless Tampa Bay Library Consortium from any claims, damages, losses, liabilities, and expenses arising from your use of our services or violation of these Terms.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through our service. Your continued use of the services after such modifications constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

Note: By using our services, you agree to resolve disputes through arbitration rather than in court, except as specified above.
